Official business registration in Romania within 48 hours

Company Registration in Romania for Founders Living Abroad

We prepare your documents, file them at the Trade Register (ONRC) under your power of attorney, and provide the registered office.

The 48 hours are our preparation and filing once your documents are complete; the registrar's term runs separately.

  • Bucharest office, Calea Victoriei 125
  • Service in English, Monday to Friday
  • 500 lei minimum capital for a new SRL since 18 December 2025 (Law 239/2025 art. VI(2))

Registration and the services around it

Each card opens the page that owns the service. To protect a brand, we coordinate the file to register a trademark in Romania with a partner industrial-property attorney.

SRL formation

We prepare the standard forms and file everything needed to set up a Romanian SRL, the default company form for founders abroad.

VAT registration

We file the VAT request with the registration or later, including intra-EU VAT registration in Romania. ANAF decides after its own risk analysis.

EORI Number in Romania

We file the EORI application with the Romanian Customs Authority; a company needs the number for customs operations such as import, export and transit.

Registration from abroad

Stay where you live: our online registration service prepares the file for your signature abroad and files it under your power of attorney.

Registered office

We provide our Bucharest address as your registered office in Romania, with the documents we prepare as proof of the declared seat. An address on its own is on the virtual office page.

Bank account

We prepare the bank file for a Romanian company bank account; the law requires every new company to hold a payment account in Romania or at the State Treasury. The bank makes the decision.

Company changes

Administrator, seat, object or capital: the company changes page covers each filing, and the same team files the papers when you close a company in Romania.

Share transfer

A member joins or leaves: our share transfer service files the change and the notice to ANAF, with the deed prepared by a partner lawyer.

Residence Permit in Romania for Company Owners

We prepare the long-stay visa and residence-permit files of founders who move to Romania to run their company.

Registration in Romania at a glance

The SRL is the default vehicle; a Romanian joint-stock company and a branch follow their own rules. These are the statute figures a founder meets first.

How the registration works

You sign; RomaniaRegist prepares and files. Bookkeeping, payroll and tax returns that an outside provider prepares for the company are CECCAR members' work (OG 65/1994 art. 21(1); unauthorised practice is a criminal offence, art. 43(1)), so they stay with the company's own accountant.

  1. Enquiry and name check

You send the founders' details and the name options. We file the name check and reservation, which Law 265/2022 art. 50(1) allows online (2022 text), and the registry issues the proof.

  2. Documents and power of attorney

You sign the power of attorney before a notary at home. Foreign documents usually need an apostille (superlegalisation outside the Hague Convention) and a legalised Romanian translation (art. 76 Law 265/2022); we arrange the translation.

  3. Constitutive act, registered office and owners

The founders sign the constitutive act under private signature (Law 31/1990 art. 5(6)). We supply the standard form, the registered office and the beneficial-owner declaration; a partner Romanian lawyer drafts any bespoke clause.

  4. Filing at the Trade Register

We file inside the 15 days the law allows from signing (art. 36(1) Law 31/1990) with the fiscal registration and any VAT request; the registry requests a NIF for each non-resident individual founder, shareholder or administrator.

  5. The registrar's decision and the CUI

The registrar decides within one working day, the statute's term (art. 105(1) Law 265/2022), or allows up to 15 calendar days to complete a file. ANAF assigns the CUI; the company exists from registration.

  6. After registration

The company opens a payment account in Romania within 60 working days. ANAF reviews any VAT request, we file the EORI application separately, and the books go to the company's accountant.

Ready-made companies

Some founders prefer a company that already exists. The list and its prices live on the ready-made page, and our share transfer service handles the change of owner.

Before you buy an existing SRL: Law 239/2025 art. V as amended by OUG 13/2026, and Law 51/1995 on who drafts the deed.

Who we help

Freelancers and consultants

Invoicing clients through a company instead of in your own name? Read the freelancing guide, which sets the PFA and SRL routes side by side.

Branch Office of a Foreign Company in Romania

A foreign group entering the market chooses between a branch and a subsidiary in Romania. We file either, and each page sets out its conditions.

Crypto-asset and payment businesses

For a crypto license in Romania or our payment licence service, we handle the company side and coordinate the file your lawyers write; the authority decides.

Holding and investment structures

A Romanian company that holds shares in others: our holding company service handles the registration, and a tax consultant gives the tax view.

The team in Bucharest

Three people prepare and track every file from Calea Victoriei 125, Bucharest, Monday to Friday, 09:00 to 18:00 Bucharest time. Forming companies for others is regulated under Law 129/2019, and RomaniaRegist is notified to ONPCSB as a trust and company service provider. Meet the team.

Frequently asked questions from founders

Can you guarantee my company is registered in 48 hours?

No. The 48 hours cover our preparation and filing once your documents are complete. The registrar then decides, and one working day is only the statute's term (Law 265/2022 art. 105(1), 2022 text); an incomplete file gets up to 15 calendar days for completion, or is rejected (art. 106(1)). The Government recorded registration difficulties in 2024 (OUG 109/2024).

Can a non-resident founder register a Romanian company without travelling there?

The registrar may require presence only where identity is in doubt, never where a notary or lawyer drew up the application and its documents (art. 105(2)-(3) Law 265/2022, 2022 text). Foreign documents usually carry an apostille and a legalised Romanian translation, and a tax number (NIF) for each non-resident individual founder, shareholder or administrator is requested with it.

Do I need a notary, a lawyer or neither to register an SRL?

No notary for the act itself unless real estate is contributed: an SRL's constitutive act is signed by all members under private signature (Law 31/1990 art. 5(6), text of January 2024). We file under your notarised power of attorney. Bespoke drafting is lawyer work (Law 51/1995 art. 3(1)(c), (2)), so our partner Romanian lawyer prepares it.

Will I get a VAT number when the company is registered, and is it the CUI?

ANAF assigns the CUI, the company's tax code, on data the trade register sends. A VAT request filed with the registration takes effect from the registration date (art. 316(11) Fiscal Code), but ANAF then runs a risk analysis; one criterion is a foreign administrator without Romanian tax residence and capital under 45,000 lei. We file; the code is never promised.

What is the minimum share capital in 2026?

A newly formed SRL needs at least 500 lei of share capital under Law 239/2025 art. VI(2), in force since 18 December 2025. An SRL whose previous-year net turnover exceeded 400,000 lei needs at least 5,000 lei (art. VI(1)), and the duty of registered SRLs to raise their capital concerns that 5,000 lei figure only (art. VI(6)).

Do I need a Romanian bank account, and by when?

Yes, a payment account in Romania or at the State Treasury. A newly formed legal person opens it within 60 working days of formation (Law 70/2015 art. 1(12), inserted by Law 239/2025 art. II). A breach is fined 3,000 to 10,000 lei (art. 12(4)), and a company without one can be declared inactive. The bank runs its own checks.

What documents do I need from my home country, and do they need an apostille?

Foreign documents are filed in original with the apostille (superlegalisation outside the Hague Convention; a treaty or EU rule can remove it) and a legalised Romanian translation (Law 265/2022 art. 76, 2022 text); we arrange the translation. An EU-notarised power of attorney still needs the apostille unless a bilateral treaty removes it: Regulation (EU) 2016/1191 covers civil-status documents only.

Will my name and address be public after registration?

Partly. The trade register publishes founders and administrators with their country, town and county (art. 16(2) Law 265/2022, 2022 text). Beneficial owners are declared at registration or named in the constitutive act (art. 56(7) Law 129/2019). Registration is an anti-money-laundering regulated activity, so identity checks are part of every file and anonymity is not offered.

Do I need an EORI number, and is it issued with the company?

An EORI number is mandatory for customs operations in the EU such as import, export and transit (art. 9 Regulation (EU) 952/2013). In Romania the Romanian Customs Authority assigns it; for a company seated in Romania it is RO plus the CUI. It is a separate application, which we file for you, and no processing time is published.

Can I use a nominee director or shareholder?

No. RomaniaRegist does not act as, or provide, an administrator or a shareholder for a client. The people named in the constitutive act at registration appear in the register, and the company declares its beneficial owners under Law 129/2019 art. 56. Forming companies for others is supervised by ONPCSB, so we identify the people behind every company we file.

What are the steps to create a company in Romania?

Six: we check and reserve the name; you obtain the documents (usually apostilled) and we arrange translations; the founders sign the constitutive act and we supply the registered office; we file within the legal 15 days (art. 36(1) Law 31/1990); the registrar decides and ANAF assigns the CUI; then the company opens its payment account within 60 working days.

How much does it cost to establish a company in Romania?

The state figures we have sourced: at least 500 lei of share capital for a new SRL (Law 239/2025 art. VI(2)), 152 lei per manuscript page for Company Law acts published in Monitorul Oficial Part IV in 2026 (Decision 1/2026), and no trade-register fee in the 2022 text of Law 265/2022 (art. 44). Our own fee is quoted on request.
