Virtual Office in Romania with a Bucharest Business Address

A Bucharest address with mail handling for your Romanian company, as its sediu social (the registered seat at ONRC) or as a mailing address only.

  • Seat or mail-only address, both regulated services
  • Customer due diligence before the contract
  • Post logged, scanned and forwarded, deadlines flagged
  • No VAT code or registrar outcome promised

Your Bucharest business address with RomaniaRegist

RomaniaRegist provides a Bucharest business address with mail handling for Romanian companies, mostly for founders who do not live in Romania. It serves as the registered seat or as a business or postal address only, with the seat elsewhere. For the seat's proof, expiry and change, see a registered office address in Romania.

Both options are regulated. Providing a registered office, a work point or a commercial, postal or administrative address is a trust and company service under art. 2(l)(3) Law 129/2019, and the provider notifies ONPCSB within 15 days of starting (art. 302(1)). RomaniaRegist is notified. Bookkeeping, tax advice and drafting stay with the licensed professions.

What's included

Seven parts, from the first check to the point where our service stops.

A Bucharest business address

Our Bucharest address for your company, as its registered seat or as a business or postal address only. Both are regulated trust and company services.

Mail handling

We receive, log, scan and forward the company's post and flag any deadline we see on an item.

Due diligence first

Before the contract we identify the company, its representative, beneficial owners, structure and purpose, the real seat if different, and who may sign.

A written contract with a term

Our standard contract, with a stated term and end date. Its type and term matter to ANAF's seat criteria.

Filing liaison

Under your power of attorney: the seat data and the standard self-declaration (declarație-tip pe propria răspundere) at ONRC, form 050 at ANAF, the secondary-premises declaration. A partner Romanian lawyer prepares any bespoke act.

Renewal before expiry

We renew before the contract ends: an expired seat deed has statutory consequences. Staff receive ANAF at the address in business hours, a contract term, not a legal guarantee.

Where the service stops

No books, payroll or returns; no tax advice, answering ANAF, tax inspections or appeals; no drafting of acts; no promised time or VAT code; no administrator or shareholder for hire; no home-state tax outcome.

How the process works

  1. Decide what the address is for · CLIENT, US

Seat (also the domiciliu fiscal, the fiscal domicile, unless management sits elsewhere) or postal address only; you say where the business is run. Buying instead? See what to check before buying a shelf SRL in Romania.

  2. Due diligence before the contract · US, CLIENT

You send the documents below; we identify the company, owners, purpose and signatory. A foreign parent adds a legalised Romanian translation. No official time is published for this step.

  3. Contract with a term · US, LAW

We sign our standard contract with a stated term and end date. Any bespoke contract is prepared by a partner Romanian lawyer.

  4. ONRC filing · US, ONRC

At formation or as a seat change: the seat in the act and the standard self-declaration (art. 121(1) Law 265/2022, 2022 text). The registrar's one working day is the statute's term, not our promise.

  5. Fiscal domicile · US, ANAF

Nothing to file if management sits at the seat. If it sits elsewhere in Romania, we file form 050 with supporting documents; ANAF may also act of its own motion.

  6. Mail handling · US, CLIENT

We receive, log, scan and forward registered post and door notices, and flag deadlines. You read your SPV account and act; the tax response is not ours.

  7. A work point if activity starts elsewhere · CLIENT, US, ONRC, ANAF

An office, shop or warehouse is a punct de lucru (work point): an ONRC mention with a new self-declaration, then an ANAF declaration within 30 days. The lease is yours.

  8. Keeping the address alive · US

An expired seat deed, or not being found at the fiscal domicile, leads towards inactivity and dissolution. We track the end date and renew before it.

Documents you will need

What the AML law asks the address provider to collect before the contract.

  • The constitutive act or registration certificate, and the data of the representative who signs
  • The beneficial owners and the ownership and control structure
  • The purpose and nature of the business relationship
  • The real seat if it differs from the address
  • Proof of authority of whoever signs for the company
  • A legalised Romanian translation of a foreign parent's constitutive documents, if it signs
  • Extra information if a politically exposed person or high-risk third country is involved
A passport and a folder of business documents on a desk.
The file is agreed at intake, before the contract is signed.

Each track runs on its own scale, in days. Every term runs from communication.

Two routes, one rule: every term runs from communication under art. 47 and 48 Fiscal Procedure Code.

A tax act takes effect from its communication, so a deadline runs whether or not a forwarded scan was read (art. 48(1)); an act not communicated under art. 47 has no effect against the company (art. 48(2)). SPV, Spațiul Privat Virtual, is ANAF's free online account.

What ANAF's VAT criteria say about a hosted address

A Romanian company registered for VAT under art. 316(1) is subject to ANAF's risk analysis after registration (art. 316(9) Fiscal Code). The criteria below describe the texts; they are not a way to choose a setup.

Sources: Annex 6 to the VAT methodological norms, the criteria in force in 2026, and ANAF Order 2856/2017 in its 2017 text.

In the 2017 text of ANAF Order 2856/2017, the criteria are scored, not applied one by one (Annex 2 pt. 6(3)-(4)). A work point keeps a company out of the two Annex 6 seat criteria: a description of the text, not a suggestion. Whether the 2017 annex still applies in full is unsettled, and no address is said to satisfy ANAF.

Problems we solve

Five situations founders raise, and how the file handles each.

A bright empty office room with desks and chairs beside large windows.
A real office, shop or warehouse is a work point, not the hosted address.

"No physical operations needed" is not the whole story

The fiscal domicile follows where the business is really run, ANAF can move it, and not operating there is an inactivity ground. We ask where management sits and file form 050 if needed.

Post from ANAF is a legal event

Registered post, publication, a door notice and SPV all start deadlines. We log, scan, forward and flag; the reply belongs to your accountant or a CCF tax consultant.

Activity starts somewhere else

A shop, office or warehouse is a secondary seat: an ONRC mention, a new self-declaration, a 30-day ANAF declaration. For tax purposes, staff working from home do not make their home one (art. 85(3)).

A hosted address and VAT criteria

Annex 6 lists a short free-loan seat and a lawyer's seat under a legal-assistance contract, each only without work points, among ANAF's criteria. No VAT code is promised, and no lease rule is repeated.

The contract ends or lapses

Heavier than a reminder: a dissolution ground the registrar can find, ANAF inactivity 30 days after its notification, dissolution after one year inactive. We renew before the end date.

Why work with RomaniaRegist

Andrei Stoica prepares and files Romanian company registrations for founders abroad.

RomaniaRegist is a trust and company service provider notified to ONPCSB, not a law firm; books, returns and tax advice stay with CECCAR and CCF professionals, bespoke acts with a partner lawyer.

From our practice

Before an address contract is signed, we check the beneficial owners, the signatory's authority, where management and staff will be, the address's role and the end date.

Frequently asked questions

Is a virtual office legal for a Romanian SRL, or does ANAF treat it as a red flag?

Providing a business address, including a mail-only one, is a regulated trust and company service, and the provider notifies ONPCSB (art. 2(l)(3), 302(1) Law 129/2019). For VAT, ANAF analyses risk after registration (art. 316(9) Fiscal Code); its criteria include a short free-loan seat and a lawyer's seat under a legal-assistance contract. No address is promised to satisfy ANAF.

Will a virtual office address get my company a VAT number?

No. A Romanian SRL registered for VAT under art. 316(1) is subject to a risk analysis after registration (art. 316(9) Fiscal Code). The seat criteria in Annex 6 are only some of ANAF's criteria, so no address can promise a VAT code, and RomaniaRegist does not. The registration procedure itself is on our VAT registration page.

Do I need a 12-month lease instead of a virtual office for VAT with a non-resident director?

No text we rely on sets that rule. Annex 6 to the VAT norms names a seat used under a free loan of one year or less and a lawyer's seat under a legal-assistance contract, each only without work points; the 2017 text of Order 2856/2017 scored such terms in registration requests. These are scored criteria, not a lease rule.

Why do you need my passport, the beneficial owners and the reason for the company before giving me an address?

The address provider is bound by the AML law. Customer due diligence applies when the business relationship is established, so before the contract (art. 13(1)(a) Law 129/2019). It covers identity, the beneficial owner and the ownership structure, and the purpose of the relationship (art. 11(1)), and the records are kept 5 years after it ends (art. 21(1)).

What happens if ANAF visits the address and nobody from my company is there?

If ANAF hands over an act at the fiscal domicile and finds nobody, a notice goes on the door. The company has at most 15 days to collect the act; after that it counts as communicated (art. 47(9), (11) Fiscal Procedure Code). Not operating at the declared fiscal domicile is an inactivity ground (art. 92(1)(c)).

Is a virtual office the same as a registered office, and can I use it for mail only?

No. The AML law names a registered office and a commercial, postal or administrative address side by side (art. 2(l)(3) Law 129/2019), so both are regulated. A mail-only address can sit beside a registered seat elsewhere. The seat as a legal element, with its proof, expiry and change, is covered on our registered office page.

What happens to letters from ANAF, and what if I miss one?

ANAF sends a paper act to the fiscal domicile by registered letter with acknowledgement of receipt (art. 47(3) Fiscal Procedure Code). Failing that, it publishes a notice and the act counts as communicated 15 days later (art. 47(4)-(7)). An act takes effect from communication, so a deadline runs whether or not a forwarded scan was read (art. 48(1)).

Is the fiscal domicile always the virtual office address?

No. For a company the fiscal domicile is the registered office, or the place of administrative management and effective control if that is not the declared seat (art. 31(1)(c) Fiscal Procedure Code). A different fiscal domicile is registered on application, form 050 (art. 32(1)), and ANAF can register it of its own motion (art. 32(3)).

When do I need a work point on top of the virtual office, and can my staff work from home?

A work point is a secondary seat without legal personality, mentioned in the company's ONRC registration (art. 43(3) Law 31/1990). For tax purposes any office, shop, workshop or warehouse where the activity is carried on counts, but not employees working from home (art. 85(3)). It is declared to ANAF within 30 days of its ONRC registration (art. 85(1)(a)).

Can a law firm's address be my virtual office, and does ANAF see it differently?

Annex 6 to the VAT norms lists a seat at a lawyer's professional seat, used under a legal-assistance contract, as a risk criterion when the company holds no work points (pt. 1.1). RomaniaRegist is not a law firm, does not offer a lawyer's seat and never presents one as a benefit; its address is its own, under its standard contract.

What happens if the virtual office contract ends?

Where the address is the seat, an expired seat deed is a ground for the registrar to find the company liable to dissolution (art. 2372(1)(a) Law 31/1990). ANAF notifies, waits 30 days and can declare the company inactive (art. 92(1)(g), (3) Fiscal Procedure Code); without reactivation within one year it is dissolved (art. 92(41)). RomaniaRegist renews before expiry.

How much does it cost to have a virtual office?

Pricing is on request, and no price of ours appears on this page. The price of an address is set by contract between the client and the provider. No source we rely on establishes a state fee for the address, and none is stated for form 050. Tell us about the company and we reply with our terms.

Are there free virtual offices?

RomaniaRegist offers none. Any provider supplying an address as a professional, free or paid, carries the same AML duties, including due diligence before the relationship starts (art. 2(l)(3), 13(1)(a) Law 129/2019). A seat used under a free loan of one year or less is also a named ANAF criterion when the company has no work points (Annex 6 pt. 1.2).

What is the best virtual office provider?

This page ranks no provider. What the law requires of a provider is a notification to ONPCSB (art. 302(1) Law 129/2019) and customer due diligence before the contract (art. 13(1)(a)). A stated contract term is a point to compare, not a statutory duty. Mail handling, scanning and forwarding are contract terms to compare; the choice stays with you.

How to open a company in Romania as a foreigner?

The registration steps are on the company registration page of this site; the address is one input. The standard self-declaration at ONRC names where each activity is carried on: at the seat, at secondary seats or outside them (art. 121(1) Law 265/2022, 2022 text). The registrar's one working day is a statutory term, not our promise (art. 105(1)).
