Get a registration planWe prepare and file the closure of your Romanian SRL at the Trade Register and coordinate the professionals the law reserves each part to.

RomaniaRegist files the closure of Romanian SRLs for owners, including owners who live abroad: the dissolution (dizolvare), the liquidation (lichidare, winding up) and the strike-off (radiere) from the trade register. A partner Romanian lawyer prepares the deeds. A change inside a company that keeps trading is a different filing: see how a change of director is filed in Romania.
Under Company Law 31/1990, in its text of January 2024, dissolution opens the liquidation (art. 233(1)). Selling is the alternative to closing: a share transfer in Romania keeps the company alive under new owners, and a buyer who wants an existing company can start from a shelf company in Romania.

Every closure gets the same intake, the same filing discipline and a clear split of who does what.
Which statutory route your facts fit, and its document list. We check the ANAF inactive taxpayers list and the electronic Trade Register Bulletin (BERC).
The standard forms the members sign. The dissolution resolution, the liquidator appointment act and the distribution plan are prepared by a partner Romanian lawyer.
Entry in the trade register and publication in Monitorul Oficial, Part IV (art. 232(1) Law 31/1990), filed under an authentic power of attorney or a lawyer's mandate.
On the ordinary route all the members appoint a liquidator (lichidator), unless the articles provide otherwise, and failing unanimity the court does; a natural person must be authorised. We coordinate and never act as one.
The application, the registrar's ruling (încheiere) and the strike-off certificate; on route B the ruling is published in BERC (art. 260(6)); on route A, each member's certificate of ownership for the land book (art. 235(4)).
Your own CECCAR accountant for statements, returns and the annual report; a CCF tax consultant on the distribution, and we can point you to one; insolvency proceedings are referred on.
No deeds drafted by us, no books or returns, no tax advice or answers to ANAF, no liquidator role, no insolvency work, no promised closure date or release from debts.
Law 31/1990 gives an SRL two voluntary routes and two that start without the members (the court, art. 237, and the registrar, art. 2372); Law 239/2025, in force since 18 December 2025, adds a route for tax-inactive companies (Art. VIII).
| Route | When the statute applies it | Who runs the liquidation | Terms and effects the statute sets |
|---|---|---|---|
| A. Dissolution with simultaneous liquidation (dizolvare și lichidare simultană), art. 235 Law 31/1990 | the members decide the dissolution and the method with the majority needed to amend the articles, the debts are paid or settled with the creditors, and the remaining assets are shared by a unanimous vote (art. 235(1), (2)) | the members, with no liquidator | an early dissolution (before the end of the term fixed for the company's duration) binds third parties only 30 days after publication in Part IV (art. 234); the strike-off application carries proof of the liquidation-income tax; ownership of the remaining assets passes on the strike-off date (art. 235(2), (3)) |
| B. Dissolution followed by a liquidator, arts. 252 to 263 Law 31/1990 | no unanimity on the distribution (art. 235(2)), or debts remain | liquidators appointed by all members unless the articles provide otherwise, failing unanimity by the court (art. 262); a natural person must be an authorised liquidator (art. 253(1)) | appointed within 60 days of the dissolution entry, report within 60 days of appointment, liquidation completed within one year, strike-off filed within 15 days of the end (art. 260) |
| C. Started from outside: the court, the registrar or tax inactivity | the court, at the request of an interested person or ONRC, where the company has no statutory bodies (art. 237(1)); the registrar, where activity has stopped (art. 2372(1)(b)); a tax-inactive company (contribuabil inactiv) declared inactive after 18 December 2025 and not reactivated within one year (art. 92(41) Fiscal Procedure Code, Art. VII(2) Law 239/2025) | a liquidator appointed by ONRC from the insolvency practitioners' roll | a fixed 1,500 lei after a court dissolution (art. 237(6)); a fixed 1,000 lei for an inactive company with arrears, plus 10% of the sums the liquidator recovers where they exceed 2,000 lei (Art. VIII(9)); with no arrears and no request for a liquidator within 20 days of the dissolution entry, strike-off by the registrar, complaint within 15 days of publication (Art. VIII Law 239/2025) |
| D. A company that cannot pay its debts | insolvency proceedings under Law 85/2014, which liquidation does not prevent (art. 260(2) Law 31/1990) | proceedings under Law 85/2014 | outside this service; we refer the members on |
For an SRL. We promise no registrar time for these filings, so only statutory terms appear below.
We check that statements and returns are filed, debts are paid or settled, the Romanian payment account is open, and what the ANAF inactive list and BERC show.

Law 31/1990, text of January 2024. Terms, not promises: no time is given for the registrar's work and there is no closure time of ours.
The route is settled with all the members at intake, never by this page. Tell us where the company stands and we return a plan.
What our intake asks for; this is not ONRC's statutory list.

Each figure is dated to its text. An individual member's liquidation income is the excess of the distributions over the member's contribution to the share capital, which the share capital page explains (art. 94(11)); the paragraph's last sentence uses the tax value of the shares instead, so the base is not settled for a member who bought them.
| Item | What the statute says | Term, rate or amount | Source |
|---|---|---|---|
| Effect on third parties, opposition | an early dissolution binds third parties only after publication in Part IV; creditors' opposition where the art. 62 term applies | 30 days from publication | art. 234, 62(1) Law 31/1990 |
| Liquidators and their report | appointed after the dissolution entry; a report on the economic situation is filed with the register office; a missing report is fined by the registrar | 60 days from the dissolution entry; 60 days from appointment; fine of 500 to 1,000 lei | art. 260(3), (4), (5) Law 31/1990 |
| End of the liquidation | completed after the dissolution entry; the register office may extend the term at the liquidator's request for serious reasons | one year; up to three extensions of one year each | art. 260(1) Law 31/1990 |
| Members' notice | the members are notified of the liquidation statements and the draft distribution and may oppose; after that the statements are deemed approved and the liquidators discharged | 15 days from notification | art. 263(2), (4) Law 31/1990 |
| Strike-off | the liquidators file the application with the final liquidation report (raport final de lichidare); with no application, the registrar strikes the company off ex officio after a list in BERC | 15 days from the end of liquidation; 20 lei per day of delay; 3 months after the term | art. 260(6), (7) Law 31/1990 |
| Records | the company's registers are kept after the liquidation | 5 years | art. 261(3) Law 31/1990 |
| Liquidation-income tax | an individual's income is the excess of distributions over the share-capital contribution (first sentence of art. 94(11)); its last sentence uses the tax value of the shares, so the base is not settled for a member who bought them; taxed as final income; for a non-resident it is withheld, declared and paid by the 25th of the following month | 10% for a resident individual; 10% for an individual resident in an EU member state or a treaty country; 16% in other cases; a higher rate where the income is paid into an account in a state with no information-exchange instrument with Romania and arises from transactions treated as artificial (art. 224(4)(c), 11(3)) | art. 94(11), 97(5), 224(4), (5) Fiscal Code |
| Profit or micro return, VAT notice | the fiscal period ends when the liquidation operations end and no later than the filing of the financial statements (art. 16(4)(b)); the profit tax return is filed and the tax paid by the date the statements are filed (art. 41(16)); a company that dissolves with liquidation in the same year the liquidation began files the micro-enterprise return and pays by the same date (art. 56(3)); a VAT-registered company notifies ANAF in writing when it ceases its activity | by the filing date of the statements; 15 days | art. 16(4)(b), 41(16), 56(3), 316(20) Fiscal Code |
| Annual report, tax certificate | a company in liquidation files an annual accounting report with ANAF; the tax certificate (certificat de atestare fiscală) is issued on request | 90 days from each year end; 3 working days, or 5 working days after an audit decision when asked for the strike-off | art. 9(1) OMF 2.036/2025; art. 158(5), (6) Fiscal Procedure Code |

Route B only. Law 31/1990, text of January 2024. No closure time of ours.
How each is handled, with no outcome promised.

An attorney under an authentic power of attorney, or a lawyer under a mandate, signs the application (art. 81(1) Law 265/2022, 2022 text). Apostille and translation are checked at intake.
Without unanimity on the distribution the ordinary liquidation applies (art. 235(2)), and a member may ask the court to dissolve for grave disagreements (art. 227(1)). We file; we do not settle disputes.
Route A needs the debts settled. Statements 5 months late and no Romanian payment account are inactivity grounds (art. 92(12) Fiscal Procedure Code). Insolvency is outside our service.
Tax debts are annulled after the strike-off unless another person, such as the bad-faith administrator of an insolvable company, was made liable (art. 266(4) Fiscal Procedure Code); a member abusing limited liability to defraud creditors answers without limit (art. 2371(3)).
With no arrears and no request for a liquidator within 20 days of the dissolution entry, the registrar strikes the company off (Art. VIII(3) Law 239/2025). A consequence, never an option: see the dormant company guide.
Before any filing, we check the ANAF inactive list, BERC, the statements and the payment account, and tell you what they show.
RomaniaRegist is a trust and company service provider notified to ONPCSB (Law 129/2019 art. 2(l), 5(1)(g)) and identifies every client. It is not a law firm, and no one here acts as liquidator.
From our practice
Before filing, intake checks the statements, the payment account, the ANAF list and BERC, creditors, staff and contracts, the VAT status and whether all members agree.
Registration and corporate filings lead
The register application is signed by the legal representative, an attorney with an authentic power of attorney, or a lawyer with a mandate (art. 81(1) Law 265/2022, 2022 text); how members abroad sign the decision is settled at intake. An EU-notarised power of attorney still needs the apostille unless a bilateral treaty removes it; an EU criminal-record certificate does not.
No closure time is promised. An early dissolution binds third parties 30 days after publication (art. 234 Law 31/1990). On route B, liquidators are appointed within 60 days of the dissolution entry and report within 60 days; liquidation ends within one year, extendable up to three times (art. 260); the strike-off is filed within 15 days of its end.
Tax debts of a struck-off company are annulled unless another person was made liable (art. 266(4) Fiscal Procedure Code), such as, for an insolvable company, an administrator who in bad faith left taxes undeclared or unpaid, for the mandate period (art. 25(2)(d), (5)). A member who abused limited liability in fraud of creditors answers without limit (art. 2371(3) Law 31/1990).
Route A needs the debts paid or settled with the creditors (art. 235(1) Law 31/1990), and annual statements not filed within 5 months of the legal deadline are themselves an inactivity ground (art. 92(12)(b) Fiscal Procedure Code). A company that cannot pay its debts goes to insolvency proceedings; we do not run those and refer you to an insolvency practitioner.
Without a unanimous vote on how the remaining assets are shared, the ordinary liquidation with a liquidator applies (art. 235(2) Law 31/1990). A member may also ask the court to dissolve the company for serious reasons such as grave disagreements between members (art. 227(1)). RomaniaRegist files the documents; it does not settle a dispute between members.
Not on route A, where the members agree on the distribution and the debts are paid or settled (art. 235 Law 31/1990). On route B all the members appoint the liquidators, unless the articles provide otherwise, and failing unanimity the court does (art. 262). A natural-person liquidator must be an authorised liquidator (art. 253(1)). The liquidator is never RomaniaRegist.
Liquidation income of a resident company is Romanian-source income (art. 223(1)(o) Fiscal Code). It is withheld at 10% for individuals resident in the EU or a treaty country (art. 224(4)(c1)), 16% in other cases (art. 224(4)(d)), and at a higher rate where paid into an account in a state without an information-exchange instrument with Romania via artificial transactions (art. 224(4)(c)).
An individual's liquidation income is the excess of distributions over the contribution to the share capital (art. 94(11) Fiscal Code); the paragraph's last sentence uses the tax value of the shares, so the base is not settled for a member who bought them. Taxed at 10%, final, for a resident (art. 97(5)), it follows liquidation-income rules, not dividend rules.
A VAT-registered company notifies ANAF in writing within 15 days of ceasing its economic activity (art. 316(20) Fiscal Code). ANAF deregisters the company of its own motion once it ceases to exist (art. 90(3) Fiscal Procedure Code). The Romanian payment account has to stay open until the strike-off, because having none is an inactivity ground (art. 92(12)(a)).
A consequence, not an option. No Romanian payment account, or statements 5 months late, are inactivity grounds from 2026. A company declared inactive after 18 December 2025 and not reactivated within one year is dissolved (art. 92(41) Fiscal Procedure Code; Art. VII(2) Law 239/2025); ANAF must request it, with or without arrears, unless a criminal complaint concerns it (art. 92(42)).
With no arrears, if nobody asks for a liquidator within 20 days of the dissolution entry, the registrar strikes the company off (Art. VIII(3) Law 239/2025); a complaint lies within 15 days of publication. With arrears, ONRC appoints a liquidator for a fixed 1,000 lei, plus 10% of recoveries, where these exceed 2,000 lei. Reactivation filings are the accountant's work.
A registered temporary suspension (inactivitate temporară) may not exceed 3 years (art. 2372(1)(b) Law 31/1990) and postpones the request to dissolve an inactive taxpayer until it ends (art. 92(43) Fiscal Procedure Code). Whether returns and statements stay due during a suspension is not covered here. The choice is the members' own, made with their accountant.
Yes, while no assets have been distributed. Members can revoke a dissolution they decided, with the majority needed to amend the articles (art. 231(1) Law 31/1990). Once the company has made any distribution of its assets, that route is closed, so the point is settled before assets move. The drafting of the revocation sits with the partner lawyer.
No separate procedure for a company that never traded is described here, and we do not assume one exists. The routes on this page apply: simultaneous liquidation under art. 235, or a liquidator under arts. 252 to 263 Law 31/1990. Intake starts from the company's filing history, so you see what is outstanding before any filing.
Liquidators may pay members nothing before the creditors are paid (art. 256(1) Law 31/1990), so the members come after the creditors. The order among the creditors themselves is not covered on this page. RomaniaRegist does not act as liquidator; on route B the authorised liquidator applies this rule before any distribution.
Send the company's name, its members and where they live; we return the route, the document list and the statutory terms.
