Terms of Service
The terms on which RomaniaRegist Ltd. files registrations and other filings for clients. Last updated 23 October 2026.
Who these terms bind
These terms govern every engagement of RomaniaRegist Ltd. (the provider, "we") by a client (the person or company that signs the engagement, "you"), from the first enquiry to the last filing.

What we do under these terms
We prepare and file. Under a written power of attorney from you, we carry out the work below for the services in your written quotation. Registration and the registered office are activities regulated by the anti-money-laundering law (Law 129/2019), and we are notified to the national anti-money-laundering office (ONPCSB) as a trust and company service provider.
- Prepare the standard forms that the founders sign.
- File your registration and later changes at the Trade Register (Registrul Comerțului) under your power of attorney.
- Prepare the beneficial-owner declaration for filing.
- Provide our registered office address (sediu social), where your engagement includes it.
- Coordinate the apostille and the translation of your documents.
- File the VAT and EORI applications under the same power of attorney.
- Liaise with the authorities for the filing.
What we do not offer
The law reserves some work to licensed professions: accountants (CECCAR; Accounting Law 82/1991, OG 65/1994), tax consultants (OG 71/2001, which covers acting for you before the tax authority, ANAF), lawyers (Lawyers Law 51/1995) and financial auditors. We do not do that work, and you instruct the right professional for it.
- Bookkeeping, payroll, annual financial statements and tax returns: for an accountant.
- Tax advice and opinions, representing you before ANAF, appeals: a tax consultant or lawyer.
- Legal advice: we are not a law firm, and a lawyer gives it.
- Bespoke deeds (amending deeds, share-transfer agreements, liquidation resolutions): a partner Romanian lawyer prepares them.
- Auditing a company's accounts: a financial auditor.
- Acting as your administrator or shareholder, or holding shares or a board seat: not offered.
What we need from you
Our filings rest on what you give us. A late or incorrect document can delay a filing, so you agree to the following.
- Give accurate and complete information on the company, the founders and the beneficial owners.
- Complete the identity checks that the anti-money-laundering law requires us to make.
- Sign the forms and the power of attorney that we send you for signature.
- Where the online route applies, sign the filing with a qualified electronic signature.
- Provide proof of registered office if you keep your own seat.
- Supply the documents we need for the apostille and the translation.
- Answer our requests within the time we set.
- Tell us promptly when a fact you gave us changes.
Fees, payment and invoices
We do not publish prices for our services. Prices are given on request, and each engagement is confirmed in a written quotation. A fee charged by an authority is shown in the quotation as that authority's charge, not as ours.
Each invoice carries an invoice reference and is paid by the methods stated on it. Where an invoice points to our payment page, the payment providers named there handle the payment, in euro (EUR) or Romanian lei (RON).
Cancellation and refunds
To cancel an engagement, write to info@company-registration-in-romania.com. If you cancel before we start the filing, you pay only for the work done up to that point.
A filing that has already been sent to the authority cannot be refunded as a whole. The amount due for the work done is stated in our written confirmation of the cancellation.
Where a refund is due, we confirm the amount, the period and the method in writing.
Timelines, authority decisions and liability
We tell you how long we need to prepare and file a registration. That is the time within our control, and the "within 48 hours" in our tagline means that time and nothing else. It depends on you giving us what we need, as listed above.
The Trade Register decides on a registration, the tax authority (ANAF) decides on a VAT code, and the customs authority issues the EORI number. Each follows its own procedure and terms, and we do not promise a date for any of them.
We are responsible for the work we carry out: preparing the forms and filing them as you instruct. You are responsible for the facts, documents and signatures you give us. The authorities are responsible for their own decisions.
Governing law, changes and contact
Your engagement is governed by the law, and any dispute is heard by the court, named in the written quotation you accept.
We may change these terms. The version that applies to an engagement is the one published on this page on the day you engage us. How we handle your personal data is described in the privacy policy.
Questions about these terms go to info@company-registration-in-romania.com or to +40 21 312 3456, Monday to Friday, 09:00 to 18:00 Bucharest time.
