Get a registration planA registered address for your Romanian company, the sediu social, under a written contract from a trust and company service provider notified to ONPCSB.

RomaniaRegist provides a hosted registered office for Romanian companies, mostly for founders who do not live in Romania, at registration or later. The seat is a mandatory clause of an SRL's constitutive act (art. 7(b) Law 31/1990), and the application carries proof of the declared seat (art. 36(2)(c)). The formation itself is on the detailed company registration page.
Providing a registered office is a trust and company service under art. 2(l)(3) Law 129/2019, so the provider is a reporting entity (art. 5(1)(g)) that notifies ONPCSB, the Romanian financial intelligence unit (art. 302(1)). RomaniaRegist is notified and checks every client first. The business address as a product is our virtual office service.
Seven parts, from the first check to the point where our work stops.
Your company's seat at an address RomaniaRegist provides, under a written contract with a stated term and a recorded end date.
Before the contract we identify the company, its founders and its beneficial owners. For a provider of a registered office this is a legal duty, not a formality.
We supply the seat data for the act, the proof of the seat and the standard self-declaration on operating conditions (declarație-tip pe propria răspundere).
We file with the Trade Register (ONRC, Oficiul Național al Registrului Comerțului) under your power of attorney, at registration and for a later change of seat. A partner Romanian lawyer prepares the act or decision.
Post that arrives at the seat is received and forwarded to you on the terms the contract sets.
We track the end date and renew before it lapses: an expired seat deed has statutory consequences at ONRC and at ANAF.
No books, payroll or returns (CECCAR work), no tax advice or ANAF procedures, no drafting of deeds, no promised time, VAT code or acceptance, no administrator or shareholder for hire.
Own premises, a lease, a comodat (free loan for use), our hosting contract or a lawyer's seat. The law asks for proof of the declared seat; the texts we rely on list no documents.
You send identity documents and the ownership structure; we identify the company, founders and beneficial owners before signing, as the AML law requires.
A partner Romanian lawyer drafts the constitutive act with its mandatory seat clause; we supply the seat data and the standard forms you sign.
The application names the seat and an ONRC contact e-mail or phone, with the seat proof and the self-declaration (art. 72 and 122 Law 265/2022, 2022 text). The registrar's one working day is the statute's term, not our promise.
The seat is published free of charge, becomes the fiscal domicile (domiciliu fiscal) unless management sits elsewhere, and goes on every business document (cash-register receipts excepted). We forward the mail.
ANAF registers the company for VAT first and analyses risk afterwards; the seat criteria are in the second table below.
We renew before the contract ends. An expired deed lets ANAF declare the company inactive 30 days after notifying it; one year inactive leads to dissolution.
A partner lawyer prepares the decision; we file it with the new seat proof and self-declaration. Statutory term: 15 days from the act. Where the seat is the fiscal domicile, that domicile follows by law.

A short conversation sets out the conditions for your company's seat contract and filing. The choice of seat stays yours.

What the statutes say about the seat, read in the January 2024 text of Law 31/1990, the 2022 text of Law 265/2022 and the Fiscal Procedure Code consolidated to OUG 38/2026.
| Rule | What the statute says | Term or date | Source |
|---|---|---|---|
| Seat in the act | The registered office is a mandatory clause of an SRL's constitutive act | none | art. 7(b) Law 31/1990 |
| Proof of the seat | The application carries proof of the declared seat; the 2022 rewrite does not list which documents count | none | art. 36(2)(c) Law 31/1990; art. 129 pt. 15 Law 265/2022 (2022 text) |
| Standard self-declaration | Filed with the application; not needed for the company's own office work; signed by hand or with a qualified electronic signature; ONRC issues a certificat constatator (ONRC certificate) attesting it | with the application | art. 122(1), (2), (3), (7) Law 265/2022 (2022 text) |
| Contact data and documents | The application gives the seat and an e-mail address and/or telephone number for ONRC, with the documents the law of the legal form requires | with the application | art. 72(1)(c)-(d), 72(2) Law 265/2022 (2022 text) |
| Registrar's decision | Decided on the documents; an incomplete file gets a term to fix it | one working day; up to 15 calendar days to fix; a statutory term, not our promise | art. 105(1), 106(1) Law 265/2022 (2022 text) |
| Publication | The seat is available free of charge through the trade registers' interconnection system and the ONRC website | none | art. 12(1) Law 265/2022 (2022 text) |
| On every document | Name, legal form, seat, trade register number and CUI on each invoice, offer, order, tariff, brochure and other business document; fiscal receipts from electronic cash registers are excepted | none | art. 74(1) Law 31/1990; art. 128 Law 265/2022 (2022 text) |
| Fiscal domicile | The seat, or the place of administrative management and effective control if that differs; ANAF may also act of its own motion | 15 working days to decide an application | art. 31(1)(c), 32(2), (3) Fiscal Procedure Code |
| Changing the seat | Filed with a new self-declaration; where the seat is also the fiscal domicile, the fiscal domicile follows by law; in an SA, a matter for the extraordinary general meeting | 15 days from the act | art. 43(1), 122(4) Law 265/2022 (2022 text); art. 32(5) Fiscal Procedure Code; art. 113(b) Law 31/1990 |
| Flat in a block | No owners' association approval if the administrator declares that no activity is carried on at the seat | none | art. 17(6) Law 31/1990 |
What follows when the seat deed expires
ANAF: days from its notification
ANAF: years from the declaration of inactivity
ONRC track: on expiry of the deed the registrar may find the company liable to dissolution; for other seat failures a court may dissolve it at the request of an interested person or ONRCart. 2372(1)(a) and art. 237(1)(c) Law 31/1990
Reactivation needs all returns filed and no arrears (art. 92(5)), and a seat deed in force again (art. 92(6)). ANAF also treats a company not operating at its declared fiscal domicile as inactive (art. 92(1)(c)).
Art. 17(3), (4) and (5) of Law 31/1990 were repealed on 23 July 2021, 5 July 2020 and 23 July 2021. The texts we rely on set no limit on companies at one address, and we promise nothing either way.
ANAF registers for VAT first and analyses risk afterwards (art. 316(8), (9) Fiscal Code), and cancels the registration of a company with high fiscal risk (art. 316(11)(h)). To file the request itself, see how we get a Romanian VAT number.
| Criterion | What the text describes | What the file shows | Source |
|---|---|---|---|
| Order of events | ANAF registers first, then analyses risk; it may cancel the registration for high fiscal risk and re-registers the company on request once the risk ends | nothing to prepare; the VAT page covers the procedure | art. 316(8), (9), (11)(h), (12)(e) Fiscal Code |
| Lawyer's seat | The seat is at a lawyer's professional seat, used under a legal-assistance contract, and the company has no secondary premises (work points) | who provides the seat | Annex 6 pt. 1.1 |
| Short free loan | The seat is used under a comodat of one year or less and the company has no secondary premises (work points) | the kind of contract and its term; whether a hosting contract counts as a comodat is not defined | Annex 6 pt. 1.2 |
| Foreign administrator | At least one administrator is a foreign citizen without Romanian tax residence, and the share capital is below 45,000 lei | each administrator's tax residence and the share capital | Annex 6 pt. 5.1 |
| Scoring | Each criterion carries negative points; a company scoring under 51 points presents high fiscal risk; the value of each criterion is not stated | nothing to prepare | Order 2856/2017, 2017 text |
| Before cancellation | The company is invited to ANAF to state its view | nothing to prepare | Order 2856/2017 Annex 4 pt. 4(1), 2017 text |
The scoring comes from ANAF Order 2856/2017, published in Monitorul Oficial no. 780 of 3 October 2017. The texts we rely on add the points of the criteria met to a base of 100 and treat a score under 51 as high risk, but they print no value for any criterion, so this page never says that one criterion is enough or that several are needed. It prints no 12-month lease rule and never says an address satisfies ANAF.
Five situations founders bring to us, with what the statute says and how the file handles each.

The statute is heavier than a reminder letter: a dissolution ground the registrar can find, ANAF inactivity 30 days after its notification, dissolution after one year inactive. We track the date and renew first.
No. ANAF registers, then analyses risk, scoring a short comodat seat without secondary premises and a lawyer's seat against a 51-point line (2017 text of Order 2856/2017). No code is promised.
No owners' association (asociația de proprietari) approval is needed if the administrator declares that no activity is carried on at the seat. That declaration is on the documents list.
Guides that cite art. 17 of Law 31/1990 on this point cite repealed law. The texts we rely on set no limit and give no permission, so nothing is promised.
For a residence permit for commercial activity, IGI (Inspectoratul General pentru Imigrări) asks for proof of lawful holding of the seat space in the first file and again on extension.
Send the contract's end date; we set it against the ONRC and ANAF terms above. No outcome is promised.
Andrei Stoica prepares and files Romanian company registrations for founders abroad.
RomaniaRegist is a trust and company service provider notified to ONPCSB, not a law firm; books, returns and tax advice stay with CECCAR and CCF professionals.
From our practice
No seat contract is signed before we check the beneficial owners, the term and end date, the kind of contract and the fiscal domicile.
No. ANAF registers for VAT first and then runs a risk analysis, and it cancels the registration of a company with high fiscal risk (art. 316(8), (9) and (11)(h) Fiscal Code). The seat criteria are only some of those ANAF scores (2017 text of Order 2856/2017), so no address can promise a VAT code, and RomaniaRegist does not.
No text we rely on sets that rule. The Annex 6 criterion for a non-resident foreign administrator concerns share capital below 45,000 lei, not a lease (pt. 5.1). The 2017 text of Order 2856/2017 counted a seat lease or free loan of one year or less, with no secondary premises, as a risk factor; whether it still applies is unsettled.
Providing a registered office is an AML-regulated trust and company service (art. 2(l)(3) Law 129/2019); the provider is a reporting entity (art. 5(1)(g)). Starting a business relationship in breach of that law, such as without due diligence, draws a warning or a fine of 25,000 to 150,000 lei for an individual, a higher cap for a company (art. 43(1)(g), (2), (3)).
The application must carry proof of the declared seat (art. 36(2)(c) Law 31/1990), and Law 265/2022 (2022 text) lists no documents. Providing the address is an AML-regulated service that RomaniaRegist offers as a provider notified to ONPCSB. Which documents ONRC accepts is not stated in the texts we rely on, so no acceptance is promised.
The registrar may find the company liable to dissolution once the seat deed has expired (art. 2372(1)(a) Law 31/1990). ANAF can declare the company inactive 30 days after notifying it (art. 92(1)(g), (3) Fiscal Procedure Code), and a company not reactivated within one year is dissolved (art. 92(41)). RomaniaRegist tracks the end date and renews first.
The rules once in art. 17(3), (4) and (5) of Law 31/1990 were repealed in 2021, 2020 and 2021, so a page that quotes them quotes repealed law. No text we rely on sets a limit or gives a permission, and RomaniaRegist promises nothing either way on how many companies share an address.
In a block of flats, the owners' association's approval is not needed when the administrator declares, on their own responsibility, that no activity is carried on at the seat (art. 17(6) Law 31/1990). That describes the statute; it is not a promise that ONRC accepts a given flat, and the proof of the seat is still required.
The law asks for proof of the declared seat (art. 36(2)(c) Law 31/1990) and, in the texts we rely on, does not list which documents count. RomaniaRegist supplies the hosting contract with a stated term and the standard forms; whether ONRC accepts a given document is for the registrar, and no acceptance is promised.
For a company the fiscal domicile is the registered office, or the place of administrative management and effective control if that differs (art. 31(1)(c) Fiscal Procedure Code). A different fiscal domicile needs an ANAF application decided within 15 working days (art. 32(2)), and changing a seat that is also the domicile moves it by law (art. 32(5)).
The company's own office work at the seat does not require the standard self-declaration on operating conditions (art. 122(2) Law 265/2022, 2022 text). Whether a work point (punct de lucru) is needed in other cases is not addressed in the texts we rely on, so this page states no rule for it; we set out the conditions in a conversation.
A change of seat is filed at the trade register within 15 days of the act (art. 43(1) Law 265/2022, 2022 text), with a new standard self-declaration (art. 122(4)); where the seat is also the fiscal domicile, that domicile follows by law (art. 32(5) Fiscal Procedure Code). A partner Romanian lawyer prepares the decision; RomaniaRegist files it.
Yes. The seat is among the data ONRC makes available free of charge through the interconnection system of the trade registers and on its website (art. 12(1) Law 265/2022, 2022 text). It must also appear on every invoice and business document, except cash-register receipts, with the name, legal form, trade register number and CUI (art. 74(1) Law 31/1990).
IGI asks for proof of lawful holding of the seat space in the first residence-permit file for commercial activity, and again on extension. It is one document of that file, not a route to residence. The routes are covered under residence permit in Romania, in the golden visa guide and in who qualifies for Romania's digital nomad visa.
A lawyer may host a company's seat temporarily at the lawyer's professional seat (art. 3(1)(h) Law 51/1995). Annex 6 to the VAT norms lists such a seat, used under a legal-assistance contract and with no secondary premises, as a risk criterion (pt. 1.1), so RomaniaRegist does not present it as a benefit. RomaniaRegist is not a law firm.
The seat is one part of a longer filing: the constitutive act with its seat clause, the proof of the seat, the standard self-declaration and the application to the registrar (art. 36(2)(c) Law 31/1990; art. 72 and 122 Law 265/2022, 2022 text). The full sequence is on our registration page; the seat steps are in the process above.
