What we do for a Romanian SRL

RomaniaRegist files the SRL, the societate cu răspundere limitată (limited liability company), for founders and groups based outside Romania. From our Bucharest office we fill in the standard forms, supply the registered office address, file at the Trade Register and deal with the registrar until the certificate is issued. The wider picture: what the ONRC filing takes from abroad.

Some work is reserved by statute. A bespoke deed is prepared by a partner Romanian lawyer; bookkeeping, payroll, tax returns and tax advice belong to licensed professions and are not offered here. If the company form is still open, our page on the SA versus the SRL sets out the conditions of the other form.

What's included

The filing work, item by item. The reserved work is named in the table further down.

A laptop and a notebook on a desk beside a window.
The filing work is prepared at the desk, item by item.

Name check and reservation

We check that the name is available and free of barred words, then request its reservation through ONRC's online portal or at the counter.

Registered office address

RomaniaRegist supplies the registered office (sediu social) address itself, as a company service provider; the deed that proves the seat in the file is signed with you.

Standard-form constitutive act

We fill in ONRC's standard form with your choices: members, shares, administrator, capital and business object. A bespoke act is prepared by a partner Romanian lawyer.

Beneficial-owner clause

The constitutive act names the beneficial owners, which meets the declaration duty at incorporation.

File assembly, apostille and translation

We assemble the file in Romanian and coordinate the apostille and the authorised translation of foreign documents; the notary and the translator are third parties.

Filing, CUI, VAT and NIF

We file at the Trade Register and request the CUI and, if you choose, VAT. A non-resident individual founder or administrator receives a NIF through the same filing.

Registrar liaison and certificate

We answer the registrar's requests for completion, collect the registration certificate with its register number, CUI and EUID, and forward it to you.

Who this is for

Each case below is what the statute provides, not a recommendation. For the wider picture, read what a foreign founder needs before starting a business in Romania.

One founder abroad

One person can form an SRL alone, and then only the articles (statut) are drawn up (art. 5(2) Law 31/1990, text of January 2024).

A company as the sole member

A foreign company can be the sole member of the SRL; contracts between the two must be made in writing (art. 15 Law 31/1990).

Several founders

An SRL has at most 50 members (art. 12). A share transfer to an outsider needs members holding at least three quarters of the capital, unless the articles say otherwise (art. 202(2)).

Freelancers and consultants

Working alone through a company is one possible status among others. The comparison with the sole-trader status is set out in our guide to freelancing in Romania.

How the process works

  1. Name check and reservation

We check that the name is free and request its reservation online or at the counter (art. 50(1) Law 265/2022, 2022 text); names with barred words cannot be registered (art. 49(2)).

    Who acts: RomaniaRegist

  2. Business object, registered office and approvals

We list the activities by cod CAEN (national activity code), add proof of the registered office (art. 36(2)(c) Law 31/1990) and any approval the law requires before registration (art. 72(3) Law 265/2022, 2022 text).

Who acts: RomaniaRegist; you or the landlord sign the seat deed

  3. Constitutive act

We fill in ONRC's standard form (art. 42(1) Law 265/2022, 2022 text), or a partner Romanian lawyer drafts a bespoke act. All members sign; contributed real estate requires a notarial form (art. 5(6) Law 31/1990).

Who acts: RomaniaRegist or partner lawyer; the members sign

  4. Beneficial owners

The act names the beneficial owners, which meets the declaration duty at incorporation (art. 56(1) and (7) Law 129/2019). You supply the data; we include the clause.

    Who acts: you and RomaniaRegist

  5. Authority from abroad

Use a qualified e-signature (art. 82(1)), a notarised power of attorney or lawyer's mandate (art. 79(1)). Foreign documents need a legalised translation and an apostille or superlegalisation, absent a treaty or EU waiver (art. 76).

Who acts: you, a notary or partner lawyer; we coordinate

  6. Filing

We file inside the 15 days the law allows from signing the act (art. 36(1) Law 31/1990) and request the CUI and, if you choose, VAT in the same filing (art. 316(11)(a) Fiscal Code). ANAF then analyses VAT risk.

    Who acts: RomaniaRegist, then ANAF

  7. The registrar decides

Law 265/2022, 2022 text, gives the registrar one working day (art. 105(1)), a statutory term, not a promise. Fixes get up to 15 calendar days (art. 106(1)), complaints 10 (art. 112); 2024 saw backlogs (OUG 109/2024).

Who acts: the registrar; we answer requests for completion

  8. Certificate and publication

The certificate carries the register number, CUI and EUID (art. 110(1)). Under the 2022 text, an extract naming founders and administrators is published in Monitorul Oficial (art. 16); current practice not verified.

Who acts: the registrar; we collect and forward the certificate

Documents you will need

What we ask for before the filing. The capital is paid in after registration, so it sits in the table below.

  • Passport or identity document of every member and administrator
  • Your choices: members, shares, administrator, capital and business object
  • The personal data the beneficial-owner clause needs
  • A notarised special or general power of attorney, if we file for you
  • Or your own qualified electronic signature
  • Foreign official documents with an apostille or superlegalisation, unless a treaty or EU rule removes it
  • Legalised Romanian translations of those documents
  • The deed for your own premises, if you bring a registered office
  • Information for our KYC checks as a company service provider
A founder's identity document and a signed power of attorney on a desk
A power of attorney notarised in another EU state still needs the apostille unless a bilateral treaty removes it: Regulation (EU) 2016/1191 removes it only for civil-status documents.

A firm that sells filing, deeds, books and tax advice in one package is selling several professions. The statute splits them as below: we file, we do not represent you before ANAF.

Problems we solve

Five questions that stall a founder abroad, and how each is handled.

Capital figures that disagree

A new SRL needs at least 500 lei; above 400,000 lei previous-year net turnover, 5,000 lei by the next financial year's end (Law 239/2025). No text read requires 500 lei of an existing low-turnover SRL.

A founder who cannot travel

EU law requires that the Romanian SRL can be formed fully online (Directive 2017/1132, art. 13g(1) and Annex IIA). We work through your qualified e-signature or a notarised power of attorney.

A timeline that depends on others

One working day is the registrar's statutory term; fixing a file can take up to 15 calendar days, and 2024 saw backlogs. Where timing decides, one alternative is an existing Romanian SRL ready to trade.

A VAT code that is not automatic

ANAF analyses each new VAT registration's risk (art. 316(9) Fiscal Code); listed criteria include a non-tax-resident foreign administrator with capital under 45,000 lei, and some seat patterns. We file; ANAF decides.

The "152 lei" everyone mentions

The Monitorul Oficial tariff per manuscript page (Decision 1/2026), not an ONRC fee; art. 44 Law 265/2022 (2022 text) charges none for operations of art. 41 and 43. Breakdown: what company formation costs in Romania.

A question about capital, timing or VAT?

Send it with your founders' details and we answer it against the statute.

Why work with RomaniaRegist

RomaniaRegist is a company service provider notified to ONPCSB (Law 129/2019, art. 5(1)(g)); we run KYC on every founder and beneficial owner.

From our practice

Andrei checks the name, assembles identity documents and apostilled translations, prepares the standard forms, books the notary, files at the ONRC and tracks the file to the decision.

Frequently asked questions about the SRL

Do I have to travel to Romania to register the SRL?

The filing can be made without you. The application is signed by hand or with a qualified electronic signature (art. 82(1) Law 265/2022), or an attorney files under a notarised power of attorney (art. 79(1)). EU law requires that the Romanian SRL can be formed fully online (Directive 2017/1132, art. 13g(1)); how Romania applies that right is not covered.

Will my name and address be public after registration?

Expect so. Under Law 265/2022 (2022 text), an extract of the registration decision is published in Monitorul Oficial (art. 16(1)(a) and (4)), naming the founders and administrators with their country, town and county (art. 16(2)), so founders are not anonymous. Whether that publication still applies after later amendments is not verified.

Will I get a VAT number straight away, and what does ANAF check?

Not automatically; no code is promised. VAT can be requested in the registration filing (art. 316(11)(a) Fiscal Code); ANAF then analyses the risk (art. 316(9)). Listed criteria include a foreign administrator without Romanian tax residence with capital under 45,000 lei, and a comodat seat of one year or less or a lawyer's professional seat, each without secondary premises.

How long does SRL registration take, and why can it take longer than the one working day in the law?

Law 265/2022 (2022 text) gives the registrar one working day (art. 105(1)), a statutory term, not a promise. An incomplete file gets up to 15 calendar days to be fixed (art. 106(1)), and in 2024 the Government recorded major registration difficulties (OUG 109/2024). The 48 hours in our tagline cover preparing and filing, never the decision or a VAT code.

Can the SRL use a virtual office or my flat as its registered office?

A registered office is required; proof of the declared seat goes in the file (art. 36(2)(c) Law 31/1990). Expiry of the deed giving the right to use the premises is a ground for dissolution (art. 2372(1)(a)). Some seat patterns are VAT risk criteria, so a virtual office is not always enough, and which proofs are accepted is not confirmed.

Is a notary or a lawyer required to form an SRL?

All members sign the constitutive act under private signature (art. 5(6) Law 31/1990), so no notary is needed unless real estate is contributed. An attorney who files needs a notarised power of attorney (art. 79(1) Law 265/2022). A bespoke act is reserved to lawyers unless a law provides otherwise (Law 51/1995, art. 3(1)(c), (2)); we fill in the standard form.

Does a power of attorney signed abroad need an apostille and a translation?

Yes to both, as a rule. Documents filed in support are in Romanian, and foreign ones come with a legalised Romanian translation (art. 75(1) and 76(2) Law 265/2022) and an apostille or superlegalisation unless a treaty or EU rule removes it (art. 76(1)). An EU-notarised power of attorney still needs the apostille: Regulation (EU) 2016/1191 covers civil-status documents only.

Do I need a Romanian bank account, and by when?

Yes. A newly formed legal person must hold a payment account in Romania within at most 60 working days of formation (Art. II Law 239/2025), and not holding one is an offence fined 3,000 to 10,000 lei. Whether a bank opens the account is the bank's decision, and RomaniaRegist cannot promise it.

Who keeps the books of my SRL, and can you do it?

We cannot. Bookkeeping, payroll and tax returns for clients under an accounting contract are reserved to CECCAR members (OG 65/1994, art. 21(1) and 43(1)); your own staff may keep your books. Answering ANAF in a procedure is for a tax consultant, a lawyer or a CECCAR accountant under an accounting contract (OG 71/2001). We can point you to an accountant.

What happens to an SRL formed before the 2025 reform with less than 500 lei of capital?

The 500 lei minimum is for new SRLs (Art. VI(2) Law 239/2025). SRLs already registered must raise the capital set under paragraph (1), the 5,000 lei of companies above 400,000 lei previous-year net turnover, within two years of 18 December 2025, that is by 18 December 2027 (our computation). No text read obliges a low-turnover SRL to reach 500 lei.

What is the minimum share capital of an SRL in 2026, and do I pay it in before registration?

Not before. A new SRL needs at least 500 lei (Art. VI(2) Law 239/2025); above 400,000 lei previous-year net turnover, 5,000 lei by the next financial year's end (Art. VI(1), (3)). Cash is compulsory (art. 16(1) Law 31/1990); 30% is paid within 3 months and before trading, cash balance within 12 months, in-kind within 2 years (art. 91(2)).

Can a foreigner who does not live in Romania own and run an SRL?

Yes on the Company Law text read: it sets no residence or nationality condition for members or administrators. The filing gives a non-resident individual founder or administrator a NIF (Fiscal Procedure Code, art. 83(1)). An administrator must expressly accept the post (art. 72 Law 31/1990). Immigration and other tax rules are separate questions this page does not answer.

Can one person be the only member and the administrator, and can another company be the sole member?

Yes to both. An SRL may be formed by one person, and then only the articles are drawn up (art. 5(2) Law 31/1990). A legal person may be the sole member, with contracts between them in writing (art. 15). Administrators may be members or not (art. 197(1)); whether a legal person may be the administrator is not confirmed.

Which tax does a new SRL pay: the 1% micro-enterprise tax or the 16% profit tax?

Ask a tax consultant or accountant. The micro regime is optional (art. 48(1) Fiscal Code), 1% of revenue (art. 51(1)) up to EUR 100,000 (art. 47(1)(c)); a new company may opt from year one if, on registration, it meets the capital and single-micro conditions, then hires the required employee within 90 days (art. 48(3)). Profit tax is 16% (art. 17).

What is an SRL in Romania?

An SRL, societate cu răspundere limitată, is the Romanian limited liability company: members answer only up to the subscribed share capital (art. 3(3)). It can have one member or up to 50 (art. 5(2) and 12) and is run by one or more administrators (art. 197(1)). Source: Law 31/1990, text of January 2024.
