What It Costs to Set Up a Company in Romania

The cost of setting up a company in Romania, split into state charges, third-party costs, your capital and year one, each with its statute.

  • Monitorul Oficial Part IV tariff for Company Law acts: 152 lei per manuscript page, VAT included (Decision no. 1/2026)
  • New SRL capital: 500 lei minimum, kept by the company, not a fee
  • Notary, apostille or lawyer only where the law triggers them
  • RomaniaRegist's own fees: on request
A calculator, a notebook and a stack of papers on a desk.

Four kinds of cost, kept apart

For a founder who lives abroad, a Romanian company costs four different things: what the state charges, what a third party charges when the file calls for it, the company's own capital, and what the first year adds. Each figure below carries its statute and year; the procedure is in our company registration overview.

These lines cost a new company. Buying an existing one by share transfer is a different route with its own checks, set out in what to check before buying a shelf SRL in Romania. RomaniaRegist's own fees are not on this page: pricing is on request.

What's included

Eight parts of the registration work, from the name check to the point where it stops. Pricing on request.

A stamped envelope lying on a wooden desk.
Each filing is followed through to publication and the certificate.

Name check and reservation

We check that the name is available and file the reservation request through the online portal of ONRC, Oficiul Național al Registrului Comerțului (the National Trade Register Office).

The standard-form constitutive act

We fill in ONRC's standard form (formular-tip de act constitutiv) with the founders' choices; they sign it under private signature. A partner Romanian lawyer prepares anything bespoke.

Proof of the registered office

RomaniaRegist provides a registered office address in Romania itself, as a trust and company service provider notified to ONPCSB, with the proof the filing needs.

Beneficial-owner statement

The beneficial owners are named in the constitutive act at incorporation. That statement goes to the trade register, not to ONPCSB.

Filing at ONRC

The application is filed within 15 days of signing (art. 87): we file under your power of attorney, or a partner lawyer files under a lawyer's mandate.

Publication and certificate

We follow the Monitorul Oficial publication and the registration certificate. A non-resident individual founder's Romanian tax number runs through the same filing.

Hand-offs for reserved work

Books and returns go to your own CECCAR accountant, tax opinions to a CCF tax consultant (we can point you to one), bespoke deeds to a partner lawyer.

Where our work stops

No books, payroll or returns, no tax advice or answering ANAF, no bespoke deeds, and no promised registration date, VAT code or bank account.

The cost map: who is paid for what

What the state charges to register a company in Romania is a short list; the rest depends on who signs and which documents are foreign.

Share capital stays with the company

Capital is money the founders put into the Romanian limited liability company, the SRL, and the company keeps it: a contribution, not a fee.

Want these cost lines mapped to your own founders and documents?

A walkthrough sorts your file into the four kinds of cost: state, third party, capital and year one.

What the first year adds

Which costs and duties come with a Romanian SRL in its first year: the duties the law sets, and the steps that follow from them.

  • A payment account in Romania within 60 working days; fine 3,000 to 10,000 lei.
  • Capital paid in: 30% within 3 months and before trading, cash balance within 12 months.
  • Books kept by own staff or a CECCAR member under contract; we keep none.
  • Beneficial-owner changes filed within 15 days; fine 5,000 to 10,000 lei.
  • The registered-office deed renewed before it expires.
  • VAT, if needed: a separate ANAF request with a risk analysis, no code promised.
  • SPV, ANAF's online account, is free to join; the texts we rely on do not say whether it is mandatory.

The payment-account duties and their fine are art. 1(12), (13) and 12(4) of Law 70/2015, inserted by Law 239/2025. The beneficial-owner term and fine are art. 56(3) and 57(1) of Law 129/2019; the administrator stays responsible for the accounts (art. 10(1) Law 82/1991).

  2. 12 monthsThe cash balance of the capital paid inArt. 91(2) Law 31/1990

Bank: working days from formation

  1. 60 working daysA payment account in Romania; a breach is fined 3,000 to 10,000 leiLaw 70/2015 art. 1(12), 12(4)

Register: days from a beneficial-owner change

  1. 15 daysA beneficial-owner change filed; a breach is fined 5,000 to 10,000 leiLaw 129/2019 art. 56(3), 57(1)

The registered-office deed is renewed before it expiresNot a statutory term: its expiry is a ground for dissolution

The three tracks run on their own scales and are not converted into each other.

The first-year dates in order; each is set by statute, except the office deed, whose expiry the statute makes a ground for dissolution; the fines are the statute's.
A desk planner and a pen next to a wall calendar.
Year one is a calendar of filings, not a single payment.

Problems we solve

Five situations founders bring to us about cost, with what the statute says and how the file handles each.

Period buildings along a street in Bucharest in daylight.
Cost questions come from founders abroad; the file is handled in Bucharest.

A quote that blurs the lines

Each line is listed by who is paid and the legal trigger behind it. A figure the texts do not publish is left out, never guessed.

A cheap seat and the VAT risk criteria

Annex 6 lists, for cancelling a VAT registration: a lawyer's seat or a comodat of a year or less, without other premises; a non-resident foreign administrator with capital under 45,000 lei. No code is promised.

A name that stays in the gazette

Under the 2022 text, the registration extract, with the founders' and administrators' names and towns, is published in Monitorul Oficial (art. 16(1)(a), (2)), and a published act cannot be changed.

A trip to Bucharest

No physical presence where a notary or lawyer drew up the application and documents; the registrar asks for it only on suspected false identity (art. 105(2), 2022 text). A qualified electronic signature works (art. 82).

Capital treated as a fee

Nothing is deposited before filing. The company pays in 30% within 3 months of registration and the cash balance within 12, and keeps the money.

Not sure which of these cost lines applies to your file?

We go through your signature route, your foreign documents and any bespoke deed, and list each cost line they trigger.

Why work with us

Andrei Stoica prepares and files Romanian company registrations for founders who live abroad.

RomaniaRegist is a trust and company service provider notified to ONPCSB under art. 2(l) and 302 Law 129/2019, not a law firm. Its own AML checks are its cost, not a state charge to you.

From our practice

At intake each file is sorted into the four kinds of cost and its triggers are checked: who signs, which documents are foreign, any bespoke deed, any contributed real estate.

Frequently asked questions about the cost of a Romanian company

Is there a Trade Register fee on top of a formation package, and how much is it?

The 2022 text of Law 265/2022 charges no taxes or tariffs for registration before trading or for changes (art. 41, 43, 44). That is the statute as read, not a 2026 guarantee, so no ONRC fee amount is given here. Nor does that law name a fee for the extract it sends to Monitorul Oficial (art. 16(1)(a)).

Is the "152 lei" that providers quote a Trade Register fee?

No. 152 lei per manuscript page, VAT included, is the 2026 tariff for acts the law sends to Monitorul Oficial Part IV, among them acts under Company Law 31/1990 (Decision no. 1/2026). A manuscript page is 2,000 characters including spaces. Law 265/2022 names no Part and no fee for a new company's registration extract.

Is registering a company in Romania free?

Not as a blanket statement. The 2022 text of Law 265/2022 waives taxes and tariffs for registration and changes (art. 44), and the Bulletin is free, but the 2026 status of art. 44 is not confirmed, and third-party costs, the capital and Monitorul Oficial tariffs for acts published there can still arise. Pricing for RomaniaRegist's work is on request.

Is the 500 lei share capital a cost, and must I deposit it before registration?

It is not a fee: the company keeps the money. A new SRL has a minimum capital of 500 lei since 18 December 2025 (Law 239/2025). Nothing is deposited before filing: 30% is paid in within 3 months of registration and before trading, the cash balance within 12 months (art. 91(2) Law 31/1990, January 2024 text).

Do I need a notary to set up an SRL in Romania?

Not for a cash-capital SRL: its constitutive act is signed under private signature (art. 5(6) Law 31/1990, January 2024 text), and a notarial form is needed when real estate is contributed. A notary is paid when a non-lawyer attorney files, because that attorney needs a notarised power of attorney (art. 79 Law 265/2022, 2022 text).

When do I need an apostille and a certified translation?

Foreign official documents are filed in the original: with the apostille for Hague Convention states, superlegalisation for others, neither where a treaty or EU rule removes it, and always with a legalised Romanian translation (art. 76 Law 265/2022, 2022 text). A power of attorney notarised in another EU state still needs the apostille unless a bilateral treaty removes it.

Do I have to travel to Romania to register the company?

Not where a notary or a lawyer drew up the application and the documents in its support, including the constitutive act; the registrar can ask for presence only on suspected false identity (art. 105(2) Law 265/2022, 2022 text). The application can be signed by hand or with a qualified electronic signature (art. 82).

Can the type of office contract affect a VAT application?

It can. Annex 6 of the VAT norms, the fiscal-risk criteria for cancelling a VAT registration, lists an office at a lawyer's seat, or under a comodat (free loan) of one year or less, each with no other premises (pt. 1.1, 1.2). How ANAF scores a first application is not stated in the texts read; no VAT code is promised.

How long do I have to open a Romanian bank or payment account, and what happens if I do not?

A newly formed legal person opens a payment account in Romania within at most 60 working days of formation and keeps one while it trades (Law 70/2015 art. 1(12) and (13), inserted by Law 239/2025). Breach is fined 3,000 to 10,000 lei. A provider may refuse only where opening the account would breach the AML law or sanctions rules.

Who may keep the books of a new SRL, and do you do it?

Outsourced bookkeeping is lawful only under a contract with a CECCAR member, who answers for keeping the accounts (art. 10(3)-(4) Law 82/1991); the administrator stays responsible for organising them (art. 10(1)). RomaniaRegist keeps no books. Annex 6 pt. 3.1 lists no designated person to run the accounts, or no active CECCAR contract where outsourced.

Does ANAF charge for the CUI or the tax number of a foreign founder?

ANAF assigns the CUI on the data the Trade Register sends, and a non-resident individual founder's tax number comes through the same filing (art. 83(1) Fiscal Procedure Code), so neither is a separate purchase. SPV, ANAF's online account, is free. Whether ANAF charges for the VAT registration, a separate request, the texts we rely on do not say.

What capital does an SA need, and how much is paid in at formation?

The January 2024 text of Law 31/1990 sets 90,000 lei (art. 10(1)), which the Government may revise to the lei equivalent of EUR 25,000; no revision after January 2024 is part of the texts we rely on. An SA formed by simultaneous subscription pays in at least 30% of the subscribed capital at formation (art. 9(2)).

Are the founder's name and town published, and can that be removed later?

An extract of the registrar's decision registering a legal person is published in Monitorul Oficial (art. 16(1)(a) Law 265/2022, 2022 text), and the content of an act once published cannot be changed. The founders' and administrators' names and towns in the extract therefore stay published, a point to weigh before the act is signed.

How much does it cost to establish a company in Romania?

The law sets part of it: a new SRL's minimum capital of 500 lei (Law 239/2025), which the company keeps, and 152 lei per manuscript page for acts the law sends to Monitorul Oficial Part IV (Decision no. 1/2026). A notary, apostille, legalised translation or lawyer is paid only when the file triggers one. RomaniaRegist's pricing is on request.

What are the steps to create a company in Romania?

Check and reserve the name, sign the constitutive act, prove the registered office, give the beneficial-owner data, prepare the signature route and any foreign documents, and file within 15 days of signing (art. 87 Law 265/2022, 2022 text). Then come the registrar's decision and the publication, and after that the first-year duties.
