Get a registration planWe prepare and check your Romanian company's bank file and liaise with the bank, which alone opens the account.

RomaniaRegist prepares and checks the bank file of Romanian companies whose founders or administrators live abroad, new or already trading, and liaises with the bank until it answers. The bank alone opens the account. For the address the file will show, see what address a foreign founder can use for a Romanian company.
Since 1 January 2026 every legal person holds a payment account (cont de plăți) in Romania or at the Trezoreria Statului (State Treasury), and a newly formed one opens it within 60 working days of formation, under art. 1(12) Law 70/2015, inserted by art. II Law 239/2025. The statute says payment account, not bank account.

Eight parts, from the first date on the calendar to the point where our work stops.
We record the 60 working days a new company has to open its payment account (art. 1(12) Law 70/2015) and keep that date, and the duty to keep the account, on the calendar with you.
Your choice of bank, Romanian branch of an EU bank or e-money institution is checked against the BNR registers and passport lists. We name no bank and rank none.
We assemble the pack from the statutory minimum of Law 129/2019 (art. 11 and 15) and check every document before anything goes to the bank.
A foreign legal person needs a legalised Romanian translation of its constitutive documents (art. 15(2) Law 129/2019); the bank may ask the same of a foreign shareholder company. We arrange it through a sworn translator.
We send the pack, follow up the bank's questions and explain what each question is for, so that your answers cover what the bank asked.
An SRL pays 30% of its subscribed capital within 3 months of registration and before trading (art. 91(2) Law 31/1990). We track that date with you.
RomaniaRegist provides the registered-office address itself. The bank still asks for the actual seat (sediul real) if the business runs elsewhere (art. 15(11) Law 129/2019), and the file states it plainly.
No approved or promised account, no remote opening promised, no ownership shaped around KYC, no books or returns (CECCAR), no tax advice (CCF). Bespoke deeds and powers of attorney: a partner Romanian lawyer.
The route for a new SRL. An existing company without an account starts at step 3.
The register requests a tax number (NIF) for each non-resident individual founder, shareholder or administrator (art. 83(1) Fiscal Procedure Code). We file the beneficial-owner declaration with the incorporation, through registration by power of attorney.
An SRL is a legal person from registration (art. 41(1) Law 31/1990); the 60 working days run "from formation" (art. 1(12) Law 70/2015). The registrar's one working day (art. 105(1)) is the statute's term, never a bank time.
You choose; we check the provider against the BNR registers: a bank authorised by BNR, a Romanian branch of an EU bank, or an e-money institution on a BNR list. Official time: none published.
You supply and sign; we prepare, arrange the sworn translation and check the pack against the statutory minimum. A bespoke legal act is prepared by a partner Romanian lawyer. Official time: none published.
The bank verifies the company and its beneficial owner before the relationship starts (art. 11(8) Law 129/2019), on documents or through an ADR-recognised remote process (art. 11(1)(a)). No proxy replaces it.
A provider under art. 2 a), b), d) Law 209/2019 may refuse only on AML or sanctions grounds (art. 1(14) Law 70/2015); incomplete due diligence bars opening (art. 11(9) Law 129/2019). Official time: none published.
The shareholders pay 30% of the subscribed capital within 3 months of registration and before trading, and complete a cash contribution within 12 months (art. 91(2) Law 31/1990).
Keep at least one payment account throughout the company's activity (art. 1(13) Law 70/2015). Accept payments by modern means such as cards, unless every payment runs through credit-institution accounts (art. 1(12), (13) OUG 193/2002).

| What the bank must do | What the statute says | What the file shows | Source |
|---|---|---|---|
| Identify and verify the customer | From reliable, independent sources; electronic identification or a secure remote process recognised by ADR is allowed | the administrator's passport | art. 11(1)(a) |

| Apply higher scrutiny | Shareholders who hold for someone else, unusually complex ownership and remote relationships without safeguards are risk factors; persons in Commission-listed high-risk third countries and politically exposed persons call for enhanced due diligence | a complete chart and plain facts; further questions are possible | art. 17(14); art. 17(1)(c)-(d) |
| Stop where checks fail | If due diligence cannot be completed, the bank must not open the account; otherwise a refusal rests on AML or sanctions grounds only | a refusal is a KYC finding, addressed in the pack | art. 11(9); art. 1(14) Law 70/2015 |
The table states what the statute asks; it does not choose a structure for you. The beneficial-owner declaration is mandatory, and we never help hide an owner or a source of funds.

Five situations founders bring to us, with what the statute says and how the file handles each. No outcome is promised.

Since 1 January 2026 a provider under art. 2 a), b), d) Law 209/2019 may refuse only on AML or sanctions grounds (art. 1(14) Law 70/2015). The work is the pack: ownership, funds, purpose, seat.
The law permits ADR-recognised remote identification (art. 11(1)(a) Law 129/2019). Whether a bank offers it to a non-resident administrator is not settled in the texts we rely on; we promise no remote opening.
The duty is a payment account in Romania or at the Treasury, and BNR lists Romanian and EU e-money institutions. The texts we rely on do not settle the passported case; we go through it for your company.
Missing them is a fine of 3,000 to 10,000 lei (art. 12(4) Law 70/2015). With no account at all, the company is declared inactive, loses deductions and, unreactivated after a year, is dissolved.
The bank must understand the purpose and the source of funds (art. 11(1)(c)-(d) Law 129/2019). We prepare plain answers and never shape ownership, or put anyone in an owner's place, to pass KYC.
Forward the bank's questions; we go through each one with you and the file. No outcome is promised.

RomaniaRegist is a trust and company service provider notified to ONPCSB (art. 5(1)(g) Law 129/2019). Books, tax advice and bespoke deeds stay with a CECCAR accountant, a CCF consultant and a partner Romanian lawyer.
From our practice
Intake checks the 60-working-day date, the documents, the actual seat and every translation before any pack goes to a bank.
Since 1 January 2026 a payment service provider under art. 2 letters a), b), d) of Law 209/2019 may not refuse the request unless opening it would breach Law 129/2019 or the sanctions ordinance OUG 202/2008 (art. 1(14) Law 70/2015). If due diligence cannot be completed, the bank must not open the account (art. 11(9) Law 129/2019).
Art. 11(1)(a) of Law 129/2019 allows identification by electronic means or a secure remote process recognised by ADR, and the bank verifies the client and the beneficial owner before the relationship starts (art. 11(8)). Whether a bank offers that process to a non-resident administrator is not settled in the texts we rely on. We promise no remote opening.
The rule requires a payment account in Romania or at the Treasury (art. 1(12) Law 70/2015). In the EU payment services directive it is any account used for payment transactions (art. 4(12)); BNR lists e-money institutions serving Romania. Whether a passported or non-Romanian-IBAN account counts is not settled in the texts we rely on; we go through it with you.
Missing the 60 working days is a fine of 3,000 to 10,000 lei (art. 12(4) Law 70/2015). With no payment account the company is declared fiscally inactive (art. 92(12)(a) Fiscal Procedure Code): no deduction of expenses or VAT on purchases (art. 11(6) Fiscal Code), and dissolution if not reactivated within a year. Reactivation needs the account, returns filed, no arrears.
Art. 11(1)(c)-(d) of Law 129/2019 requires the bank to assess the purpose and nature of the relationship and to monitor it, down to the source of funds where needed. The pack answers with a business description, expected flows and a source-of-funds explanation. Unusually complex ownership is a risk factor (art. 17(14)); we never shape ownership around KYC.
A representative can act but cannot replace your identification. The bank checks that anyone acting for the client is authorised and identifies that person (art. 11(4) Law 129/2019), and it verifies the client and the beneficial owner before the relationship starts (art. 11(8)). A bespoke power of attorney is prepared by a partner Romanian lawyer (Law 51/1995 art. 3(1)(c)).
A foreigner applies on the same terms as anyone else. The must-open rule of art. 1(14) Law 70/2015 and the KYC duties of Law 129/2019 apply to every applicant, and the rule covers a natural person's account as well as a company's. Persons established in Commission-listed high-risk third countries and politically exposed persons face enhanced due diligence (art. 17(1)(c)-(d)).
In four moves. The register requests the non-resident individual founders' tax numbers at incorporation (art. 83(1) Fiscal Procedure Code); the company chooses a provider listed on the BNR registers; the pack goes in and the administrator is identified (art. 11(8) Law 129/2019); the bank answers. The account is due within 60 working days of formation (art. 1(12) Law 70/2015).
The statutory minimum: the company's certificate, constitutive act and representative's data (art. 15(1)(b) Law 129/2019), the beneficial owner and ownership structure (art. 4(2)(a), 11(1)(b)), the purpose and source of funds, and the actual place of business if different (art. 15(11)). In practice: passports, an ownership chart and proof of the beneficial-owner registration. The bank may ask more.
Yes, for a foreign legal person: a legalised Romanian translation of its constitutive documents (art. 15(2) Law 129/2019), which we arrange through a sworn translator. A power of attorney notarised in another EU state still needs the apostille unless a bilateral treaty removes it, because Regulation (EU) 2016/1191 covers civil-status documents only. An EU criminal-record certificate needs none.
Not as a separate purchase. The register requests a tax number for non-resident individuals who are founders, shareholders or administrators at incorporation (art. 83(1) Fiscal Procedure Code). If a director still has none when the account is requested, the bank requests one and the Ministry of Finance answers the bank within 5 days (art. 83(4)).
No. Art. 91(2) of Law 31/1990 sets the payment after registration: an SRL pays 30% of the subscribed capital no later than 3 months after registration and before it starts operations in its own name, and completes a cash contribution within 12 months. The minimum capital of a newly formed SRL is 500 lei (art. VI(2) Law 239/2025).
The law allows a secure remote identification process recognised by ADR (art. 11(1)(a) Law 129/2019). Whether a bank lets a non-resident administrator use it is not settled in the texts we rely on, and they do not confirm a remote company account. We prepare and check the pack so the file is complete, and promise no remote opening.
The texts we rely on state no rule on an existing account. They do state that a beneficial-owner declaration is filed at the register on each change (art. 56(1) Law 129/2019) and that a bank starting a relationship obtains proof of that registration (art. 11(81)). The share-transfer notice and the due diligence are set out on the ready-made companies page.
As a rule, yes. From 1 January 2026 a business that must register with the trade register accepts payments by modern means such as cards (art. 1(12) OUG 193/2002, as amended by art. III Law 239/2025). The exception is a business that makes and receives every payment exclusively through accounts at credit institutions (art. 1(13)).
Send the company's facts; we reply with the documents, the dates to keep and what the bank will check.
