What we file and arrange for you
- Filing the company registration at the Trade Register (ONRC) under the founder's power of attorney.
- Preparing the standard constitutive act for signature; a partner lawyer drafts bespoke deeds.
- Providing the registered office address (sediu social) ourselves, as set out below.
- Filing changes to a company, and its share transfers, at the Trade Register.
- Filing the VAT and EORI applications under the client's power of attorney; the authority decides.
- Coordinating the apostille and translation of foreign documents.
- Liaison with the authorities on the file, and keeping you informed at each step.
- Filing the beneficial-owner declaration where the company must make it.
The registered office and the bespoke legal work
RomaniaRegist provides the registered office address itself, as a trust and company service provider notified to ONPCSB, the national anti-money-laundering office. Providing a company's address is a regulated activity under Law 129/2019, and we carry it out under those rules.
A partner Romanian lawyer prepares every bespoke deed: a constitutive act beyond the standard form, an amending deed, a share-transfer agreement or a liquidation resolution. We are not a law firm. We prepare the standard forms, work with the lawyer on the file and file the signed result.
What we never offer
- Legal advice, or drafting bespoke legal documents.
- Tax advice, representing you before the tax authority (ANAF), or answering it during a procedure.
- Bookkeeping, payroll, annual financial statements or tax returns, which are a licensed accountant's work.
- Statutory audit.
- Acting as liquidator; that is the work of an authorised liquidator.
- Acting as, or providing, an administrator, director or shareholder for a client.
- Nominee services of any kind; nobody holds a seat or shares for a client.
